COMPLAINT
The Plaintiff complains against the Defendant as follows:
This is a relatively simple case of embezzlement with an additional bit of corporate law. We allege that the defendant in this case withdrew 90K in company funds from a company wallet to renew a credit card, and has not paid it back despite a demand letter being sent. The actions of the defendant violate the embezzlement clause in the Commercial Standards Act. These funds were being used for personal use despite them being meant for the company. The plaintiff additionally owns 70% of the class A shares of Vendeka and has stripped the defendant of his position as a board member of Vendeka. We are asking the court to demand that the defendant shall transfer discord ownership to the plaintiff, as this is a company asset, and if he is no longer a part of the company, then he cannot own a company asset.

II. FACTS
1. Vendeka is a company incorporated under the laws of Redmont
2. On the 2nd of April 2025, the defendant withdrew 90k in company funds
3. The defendant's justification for this was to renew a credit card
4. Mgchamp2339 owns 70% of class A shares (voting shares) of Vendeka
5. On the 12th of May, the defendant said that he would pay the amount within 1-2 days
6. A demand letter was sent on the 21st of May with a deadline of the 10th
7. absinf has not, up to this point, paid back the 90K
8. The demand letter included a threat to remove absinf from his position as CEO and director
9. absinf has been removed from the board today at 1:31PM EST

III. CLAIMS FOR RELIEF
1. According to the commercial standards act, embezzlement is defined as "The act of withholding assets for the purpose of conversion of such assets, by one or more persons to whom the assets were entrusted, for personal gain."The defendant used company funds for personal gain and did not make amends
2. Under section 4.2 of the Vendeka shareholder agreement, it reads "Shareholders shall have the right to nominate directors in accordance with voting rights." As the plaintiff has 70% of the voting shares and has removed the defendant from the position of boardmember, we ask that the court order the defendant to transfer discord ownership to the plaintiff so that this order can be carried out.

IV. PRAYER FOR RELIEF
The Plaintiff seeks the following from the Defendant:
1. $90,000 in compensatory damages for the payment
2. $10,172 in compensatory damages for interest on the payment, this is 2 months' interest on the $90,000 at 5.5%
3. $30,000 in punitive damages due to the defendants quite simply being outrageous
4. $39,051 in legal fees, equal to 30% of the case value
5. An order to transfer the discord server for vendeka to the plaintiff
