Hello @PvM2Max ,

Please include the following in the certificate of formation:
  • Ownership and Management requirements - Make sure to define the rights of members or detail voting rights, whilst Article VI names the sole member, it does not outline what rights that membership entails.
  • Capital Contributions - It does not specify if any initial capital was contributed, if future contributions are required, or the consequences of failing to make a required contribution.
  • Profit and Loss Distribution - The document does not contain a section outlining how profits and losses will be distributed among the members.
  • Transfer of Membership - The document contains a clause on the admission of new members (Article 6.2) which correctly requires unanimous consent. However, it does not clarify the process for a member to voluntarily withdraw, be removed, or transfer their membership interest to another person or entity.
  • Dispute Resolution - The document does not contain any provisions for resolving disputes between members.
  • Amendments - The document does not contain a section detailing the process for amending the Certificate of Formation itself. Amendments must also require at least a 50% majority.
  • Dissolution - While Article VII mentions "perpetual existence... until dissolved," it does not outline a specific process for winding up or dissolving the company, as required by the policy. It merely references an external law without detailing the internal steps or vote required.

Make sure to read the Legal Entity Act and our Business Incorporation policy.
