I've updated the certificate in the original Company Docket post.
Hi @kenny019 whilst mostly everything above is compliant, I have noticed that the provided Certificate of Incorporation possesses the following discrepancies:
  • Exit Strategies - Section 6(a) of our Business Incorporation Policy requires the Certificate to contain "Provisions for events such as shareholder demise, incapacitation, or the desire to divest shares, encompassing buy-sell, drag-along, and tag-along rights". The Certificate contains no provisions or framework detailing what occurs during these shareholder exit events. Could you please edit the Certificate to ensure that it contains this?
  • Shareholder Information - Section 12(a) of our Business Incorporation Policy requires the Certificate to contain "Requirements for disseminating updates to shareholders and stipulations regarding the conduct of shareholder meetings". While Article 9 covers the voting period and docket filing of resolutions, the Certificate lacks information regarding shareholder meetings themselves. Please edit the Certificate to ensure such is elaborated upon to ensure compliance with our policy.
Make sure to read the Legal Entity Act and our Business Incorporation policy.

Once the edits are made, please change the Certificate in the above Company Docket post to the modified Certificate that fixes these discrepancies, and I shall re-review this Company Docket filing. I apologise for conducting this analysis. It seems that other Compliance Officers didn't spot these discrepancies in the original Certificate and incorporated it anyway.

Hey I made the edits and updated the certificate:

1. Exit events are now covered in Article 11 (renamed to "Transfer of Shares & Shareholder Exit Events"). If a shareholder wants to sell, existing shareholders get first refusal and the company can also choose to buy the shares back at fair value.

If a shareholder leaves the server permanently, gets banned, or goes inactive for 60+ days, the company and remaining shareholders can buy out their shares within 30 days, and anything not bought passes to their designated successor.

I've also added drag-along rights (if 75%+ vote to sell the whole company, everyone sells on the same terms) and tag-along rights (if a majority stake is being sold, minority shareholders can join the sale on the same terms). Fair value and Company Docket filing are defined in 11(6) and 11(7).

2. Shareholder meetings and updates are now in Article 9 (renamed to "Shareholder Meetings, Information & Resolutions").

9(8) covers meetings: they're held in the company Discord by text or voice, can be called by the Board or any shareholder with at least 48 hours notice, use the same quorum as resolutions, and a summary of the outcome gets posted in Discord (and filed in the Company Docket where the law requires it).

9(9) covers updates: shareholders are kept informed through the company Discord, including notice of any material event: share issuances, board changes, major acquisitions within 72 hours.

1. The Department of Commerce has determined, on reasonable belief, that GemHoldings has been carrying on regulated financial activity in a manner that places customer funds at risk of dissipation or loss.

2. Specifically, the Department concludes that the Operator of GemHoldings has abandoned its business.

3. Furthermore, the Department concludes that GemHoldings may be insolvent and unable to pay out outstanding balances or process customer withdrawal requests.

4. Accordingly, the Department of Commerce hereby issues a FREEZE ORDER. No deposits, withdrawals, transfers, disposals, or advertising of the operation may occur. Disposal of frozen funds is an indictable offence.

5. Customers are directed not to transact further with RVR. Affected customers should open a Department of Commerce ticket stating their account name and the amount owed.

6. The Department of Commerce will further petition the Federal Court to appoint a Receiver over GemHoldings.

7. Any recovered, frozen, or seized assets will be applied first to the restitution of customers in accordance with Section 50(3) RCFA.
Escalation basis (RCFA s44(1)): GemHoldings failed to respond to a Demand to Produce Records (Section 43 RCFA) within the allotted time.

Request balance information from, and request withdrawals of, any reserves held by or on behalf of the institution with the Federal Reserve Bank;
Suspend the institution's activities in whole or in part;
Establish and publish a depositor claims process, and determine the number of depositors and the sums owed to each;
Honour or restore all valid withdrawals and redemptions to the extent required by law, including by recourse to deposit insurance where available;

The Freeze Order shall remain in effect until further order of this Court, and shall not restrict any dealing undertaken by the Receiver in the exercise of the powers granted under this Order.

ORDER OF APPLICATION OF RECOVERED ASSETS
The Court notes that client funds are the property of the customer, do not form part of the institution's estate, and are not available to its creditors under Section 36(4)(e) of the Act. Pursuant to Section 50(3) of the Act, assets recovered by the Receiver shall be applied in the following order of priority:
Restitution to depositors and customers of the institution;

TRACING AND RECOVERY
Pursuant to Section 49 of the Act, the Applicant is granted leave to trace and recover customer funds from third parties who received them otherwise than in good faith and for fair value.

RESPONDENTS' OBLIGATIONS
The Federal Court orders the Respondents and all officers, employees, agents, or any individual capable of exercising any control over the institution to comply with the following:
Cooperate fully with the Receiver;

Refrain from any dealing with, disposal of, or dissipation of assets subject to this Order.
PERSONAL LIABILITY
Nothing in this Order relieves Kenny019 of any personal liability under Section 53(1) of the Act for the repayment of customer deposits or for any penalty, disgorgement, or restitution that may be ordered. Pursuant to Section 53(3), such liability is not avoided by inactivity, departure, resignation, substitution, or any purported transfer of ownership or control.

RESERVATION OF RIGHTS
The Court reserves the right to amend, vary, or extend this Order, to make such further or other orders as are necessary to preserve depositor funds, and to require the parties to produce such evidence as the Court considers necessary.
