Most of this looks good but the Certificate of Formation states in Section 6 that "Dashify LLC is member-managed. Routine daily decisions require a majority vote of the members by voting power." No manager was designated anywhere in the certificate.

This docket shows that Riniki_ and lyn15s are Chairperson/directors of the organization, which is different than that certificate. Has there been a member resolution designated those two as "managers"? If so, please include that in this docket.

Additionally, just make sure that under the directors section, you use the terminology associated with an LLC (member-based) versus more corporate terms like Chairperson or Director. Relevant portion of the LEA regarding that below.

"5- Managers
(1) Unless otherwise provided in the Certificate of Formation, a person may be designated manager by resolution of members.

(2) Managers shall be regarded as directors.

(3) Managers with different characteristics shall be different manager classes."
 
Hey Riniki,

Dashify's filing is in good shape, just one thing to reconcile before I sign the docket. The summary lists a Board of Directors (you as Chairperson of the Board, lyn15s as Director), but the Certificate (§6) says the LLC is member-managed with decisions by a majority vote of the members, and it never sets up a board or names any directors. Under the LEA, the people who count as directors are the managers (Part V §5(2)), so a member-managed LLC has no board to point to. There's also a smaller mismatch: only two of the three members are listed as directors, even though under member-management all three of you manage.

Two ways to fix it, whichever matches your intent:
  • Amend the Certificate to make Dashify manager-managed and name Riniki_ and lyn15s as the managers. They then count as directors, and the Chairperson and Director titles have a basis. Re-upload the amended Certificate as the latest version.
  • Or keep it member-managed and change the Directors field to match, dropping the board titles.
