Hello!

Interest based LLC's must be converted to a corporation within 30 days of the passage of the new Legal Entity Act in order to be in compliance with the aforementioned act.

Please also ensure that your Incorporated Entity Summary (the first post in this thread) has all the information that is required by this act. You can see an overview of the required information here.

NOTICE OF RECEIVERSHIP

On 15 February 2026, Compliance Officer Gribble19 provided a notice to this entity that under Part VIII, Section 1(1) of the Legal Entity Act (LEA), all interest-based LLCs were required to convert to a Corporation within 30 days of the Act's passage. As this entity has failed to convert within the statutory deadline, pursuant to Part VIII, Section 1(1)(b) of the LEA, this legal entity is hereby placed under Receivership, with the Department of Commerce (DOC) acting as the sole Receiver.

Pursuant to Part I, Section 3(3) of the LEA, the DOC now assumes all powers of the directors, managers, and members of this entity.

RESOLUTION OF DISSOLUTION
Acting with the cumulative authority of the membership and management, the DOC as Receiver hereby adopts and approves this resolution to dissolve this entity, pursuant to Part III, Section 9 of the LEA and in accordance with Part VIII 1(1)(b).

The winding-up process shall commence immediately. Any creditors, contractual parties, or members have 14 days from the time this is announced in #governmnent-announcements to contact the DOC regarding outstanding claims, debts, or assets. Failure to do so will result in the voluntary and permanent forfeiture of those claims.

NOTICE OF VACATION OF DISSOLUTION AND RESOLUTION OF CONVERSION

VACATION OF DISSOLUTION

On 28 March 2026, this entity was placed under Receivership and a Resolution of Dissolution was adopted pursuant to Part VIII, Section 1(1)(b) of the Legal Entity Act (LEA).

The Department of Commerce (DOC), acting as the sole Receiver and exercising the cumulative powers of the directors, managers, and members under Part I, Section 3(3)(a) of the LEA, hereby VACATES and RESCINDS the Resolution of Dissolution. The winding-up process is hereby stayed immediately. The entity shall remain in existence under the control of the Receiver for the purpose of statutory compliance.

RESOLUTION OF CONVERSION
Pursuant to Part VIII, Section 1(1)(b) of the LEA, the Receiver is authorized to either dissolve or convert interest-based LLCs that failed to meet the 30-day conversion deadline. The Receiver has determined that conversion is the appropriate course of action to preserve the entity's assets and ongoing operations.

Acting with the authority of the membership and management, the DOC as Receiver hereby adopts this resolution to CONVERT UserMart LLC from an interest-based Limited Liability Company into a Corporation.

PROCEDURAL REQUIREMENTS FOR CONVERSION
To effectuate this conversion, the following steps shall be taken:
  1. Filing of Incorporation Instrument: A Certificate of Incorporation, meeting the requirements of Part IV, Section 1 of the LEA, and our Business Incorporation Policies, shall be drafted and filed in this Company Docket by the original incorporator.
  2. Share Register: Pursuant to Part IV, Section 8, the Incorporator shall establish a Share Register in this Incorporated Entity Summary, converting the former "membership interests" into authorized and outstanding share classes.
  3. Appointment of Directors: The Receiver shall exercise the power of the shareholders to elect the first Board of Directors as outlined by the new Certificate of Incorporation under Part IV, Section 7, at which point the entity may petition for the termination of the Receivership.

STATUS OF RECEIVERSHIP
The entity remains under Receivership until the Department of Commerce verifies that the Certificate of Incorporation is lawful and the transition to a corporate structure is complete. All existing assets, liabilities, and contractual obligations of the LLC shall vest in the surviving Corporation pursuant to the principles of continuity established in Part IV, Section 9(3).

Dear DOC,
I am filing the COI on behalf of IgnitedTNT. As the CEO of this entity's sole member, UserGroup LLC, we believe that IgnitedTNT should be qualified to reincorporate this entity. If the DOC insists, we will contact the original incorporator.
Best Regards,
NullaPoene.

Hello @nullapoene ,

You're absolutely right, it was a glaring oversight for me to order the original incorporator to reincorporate the entity. The Legal Entity Act contains no statutory requirement that the original founder of the prior LLC must act as the incorporator for the converted Corporation. IgnitedTNT is qualified to reincorporate it.

I'll review the Certificate provided with the team later.

Dear DOC,
I have a new version of the CoI. I would ask that you review this instead, it fixes some things.
Best Regards,
NullaPoene.
