Hello @PostOfficeTower ,

Whilst the Company Docket filing is compliant, Section 10 of the Certificate is not compliant with Legal Entity Act Part VI, Section 2(5), as Section 10 of your Certificate states that upon dissolution, funds may be "transferred to another entity (where legally allowed)". The Legal Entity Act imposes strict rules on Non-Profit LLCs to prevent the illicit transfer of tax-free money. Part VI, Section 2(5) of the Legal Entity Act strictly states that "Upon voluntary windup and dissolution, any net leftovers shall be transferred to the government or given back equally to the non-profit’s donors up to their total donated amount". You should remove the provision allowing funds to be transferred to "another entity", and update Section 10 to match the Legal Entity Act's requirements regarding dissolution.

Section 10 of the CoF clarifies that the transfer of funds to another entity is only possible "where legally allowed" - in this sense you should interpret it as indirectly referring to the government, or in the event of bankruptcy, a trustee or estate appointed to administer the return of foundation funds to donors. @EATB

@PostOfficeTower the statement is too broad. Please update Section 10 to explicitly state that remaining funds will be transferred to the Government of Redmont or returned to donors. Part VI, Section 2(5) of the Legal Entity Act strictly states that "Upon voluntary windup and dissolution, any net leftovers shall be transferred to the government or given back equally to the non-profit’s donors up to their total donated amount".

Hey EatB!

The reason I used that language instead of just picking one or the other is because I wanted to allow for the possibility of the dissolution resulting in the funds be given to another nonprofit. That is currently not allowed, but since I'm a Representative I wrote a bill to make it possible.

Even if that bill does not pass, I also wasn't quite sure what qualifies as "to the government" here. The government has several accounts, so would the nonprofit be able to pick? Either way, I believe the government, or any of its specific departments, qualifies as "another entity", no?

Regardless, I don't see this wording allowing funds to be transferred to a for-profit (or non-tax exempt) organizations. That would not be legally allowed.

Please see the Certificate of Formation as amended to include reference to the transference of funds to the government upon voluntary dissolution. Since the LEA is vague as to what "the government" actually is, I have included provisions to direct the funds to a specific part of Government in the dissolution instrument.

Hi @PostOfficeTower thank you for the updated Certificate. Could you please also fix a critical typo in Section 7 (Profits). It currently says "No funds shall not be distributed". This double negative accidentally states that funds must be distributed to members, which directly violates the Legal Entity Act's ban on non-profit revenue distribution. Please change it to "No funds shall be distributed".

Hi @MJL the Department understands your intent, especially as a Representative working on prospective legislation. However, as an executive department, the Department of Commerce is legally bound to enforce the Legal Entity Act as it is currently written today, not as it might be written in the future. Should your bill pass, you can easily amend this Certificate of Formation later to allow transfers to other non-profits.

Hello - Can you confirm that in game db "transplusnetwork" has been added to the tax exemption list? I want to make sure of this before I transfer all of the donated funds from gnomefundme, and I am very keen not to lose a majority of it to the government in taxation.
