Hello @Dartanboy thank you for your Company Docket submission!

Could you please address the following discrepancies in the submitted Certificate of Formation:
  • Profit and loss distribution - Section 3(a) of our Business Incorporation Policy for LLCs requires that the agreement outline how profits and losses will be distributed among members. Article 4 is entirely dedicated to "Profits" (4.1 Profit Allocation and 4.2 Distribution of Profits). The provided Certificate omits any mention of how losses will be distributed, which is required by Section 3(a) of our Business Incorporation Policy for LLCs. Please ensure that this is included.
  • Transfer of membership - Section 4(a) of our Business Incorporation Policy for LLCs requires that the agreement should clarify the process for new members being added to the LLC, as well as the process for removing members, whether that be due to inactivity requirements or divestiture. LLCs may also outline methods by which membership can be transferred from one entity to another. Article 5 covers the transfer/sale of existing shares and rights of first refusal. However, it fails to outline a process for adding new members, nor does it establish a process for removing members due to inactivity. Please ensure this is adjusted.
  • Bylaws - Section 6(a) of our Business Incorporation Policy regarding LLCs requires a section that details the nature of how bylaws interact with the Incorporating Entity. The provided Certificate does not contain the word "bylaws" anywhere. It fails to address how bylaws interact with the LLC. Please ensure that this is addressed to ensure compliance with policy requirement Section 6(a).
  • Name of the incorporators - Legal Entity Act Part V, Section 1(2)(c) mandates that the Certificate of Formation shall set forth the name of the incorporators. The provided Certificate lists "Current Members" (Helix Corporation) in a table, but fails to designate or state who the actual incorporator of the entity is. Please ensure that this discrepancy is addressed.
  • Document Title - Legal Entity Act Part V, Section 1(1) requires the formation instrument to be titled a "Certificate of Formation", currently the provided Certificate is titled "Helix Law Group – Operating Agreement". Please ensure that this is corrected.
Make sure to read the Legal Entity Act and our Business Incorporation policy.

I will address these next week, however, Helix Law Group is grandfathered in as it was already filed before Company Docket was even a thing.
