Hi @kenny019 please can you fix some of the discrepancies in your Company Docket post?
  • The docket lists the name as DCStonks. Article 1 of the Certificate of Formation explicitly states the registered name of the entity is DCStonks LLC. The legal suffix should be included in the docket name. Legal Entity Act Part III, Section 2(1)(a) requires correct name.
  • The docket lists GemHoldings as the Director. GemHoldings is a corporate entity and is the Sole Member (owner), not the director/manager. Article 5 of the Certificate of Formation designates kenny019 as the first Manager. Under Part V, Section 5(2) of the Legal Entity Act "Managers shall be regarded as directors". Therefore, the Director field must list kenny019.
  • The docket lists the Share or member register as "See attachment". Part V, Section 4(3) of the Legal Entity Act explicitly states "The member register shall be put into the Incorporated Entity Summary and shall keep a record of all members". Referring to an attachment is legally insufficient. The actual member register should be written directly into the post.
