Hi @xerxesmcc the above post contains an Incorrect Director Designation, non-compliant with Legal Entity Act Part III, Section 2(1)(c). The docket lists xerxesmcc - CEO under Directors. "CEO" (Chief Executive Officer) is a corporate officer title, not a director title. Furthermore, Section 1(a) of the Certificate of Formation explicitly states "The Company is and shall remain member-managed... The Company has no managers and shall not appoint a manager". For a member-managed LLC, the managing members exercise director-level authority. Therefore, the Director field must list xerxesmcc (Managing Member), rather than assigning a corporate officer title.

It also contains an Incorrect Officer Designation, non-compliant with Legal Entity Act Part III, Section 2(1)(d). "Sole member" is an ownership/membership status, not an officer title. Because this LLC is member-managed and no active officer positions (such as President or Treasurer) have been created or appointed under the Certificate, the Officer field should be listed as N/A or None, unless you intend to create such positions.
