Ok but i'm not planning on having shareholders, do we need a formation instrument then?

If you wish to register as a corporation, you must have shareholders (even if the only shareholder is you). Please refer to the Legal Entity Act for more in-depth information. All incorporated entities are required to have a formation instrument (Certificate of Incorporation for a Corporation, and Certificate of Formation for an LLC).
