Hello, so far the Operating Agreement is good, but you need to remove the following and alter it to fit the current regulatory environment:

"- Binding Arbitration : If mediation fails, the dispute shall be finally resolved by binding
arbitration in accordance with the rules of the Redmont Arbitration Association (or a
mutually agreed upon arbitrator). The decision of the arbitrator shall be final and binding
upon both parties."
There is no Redmont Arbitration Association as far as I can tell in the books, and by law, the DOC is to facilitate Mediation and Arbitration, so you could simply remove the RAA reference, or if I missed something about the existance of such association, provide documentation regarding it.


Once this is cleared, you should be good to go.
