Interest based LLC's must be converted to a corporation within 30 days of the passage of the new Legal Entity Act in order to be in compliance with the aforementioned act.

Please also ensure that your Incorporated Entity Summary (the first post in this thread) has all the information that is required by this act. You can see an overview of the required information here.

NOTICE OF RECEIVERSHIP

On 15 February 2026, Compliance Officer Gribble19 provided a notice to this entity that under Part VIII, Section 1(1) of the Legal Entity Act (LEA), all interest-based LLCs were required to convert to a Corporation within 30 days of the Act's passage. As this entity has failed to convert within the statutory deadline, pursuant to Part VIII, Section 1(1)(b) of the LEA, this legal entity is hereby placed under Receivership, with the Department of Commerce (DOC) acting as the sole Receiver.

Pursuant to Part I, Section 3(3) of the LEA, the DOC now assumes all powers of the directors, managers, and members of this entity.

Hi Dino could you please add the following information to the COI:
- A process for amending the certificate of incorporation
- The roles and responsibilities of shareholders and directors in the corporation
- Exit strategies for handling what occurs in the event of shareholder incapacitation
- How the company may adopt bylaws and how they interact with the certificate
- Procedures regarding how profits/dividends can be distributed
- Methods by which the corporation may secure financing
- The process for initiating dissolution or any procedures which should occur in dissolution
- Stipulations regarding the distribution of company information to shareholders
- And any reserved matters requiring a higher than majority approval


You also appear to have a contradiction where there would be no director of the corporation upon incorporation due to the 75% requirement which no shareholder possesses, unless you mean to specify issued shares.
In addition you must have at least one share class with full voting rights.

This class has full voting power, it's the only class WITH voting power. I do not know how you came to this conclusion.
