Hello @Anthony_Org ,

As AVMuseum is defined as an "official government-operated non-profit institution of the Town of Aventura". Under the Legal Entity Act, this classification means AVMuseum can proceed under one of two distinct legal paths:

Firstly, under Legal Entity Act Part II, Section 1(5)(c), municipal departments, institutions, and other entities created directly by a town bylaw or council act are legally classified as Governmental Entities. This means that no Company Docket filing is required, as standard Company Dockets and Incorporated Entity Summaries, as defined by Legal Entity Act PART III, are strictly reserved for commercial Incorporated Entities (Corporations and LLCs). If this is the case, you should rescind this Company Docket filing.

Secondly, if the Town of Aventura wishes for AVMuseum to operate as a formally registered Incorporated Entity on the forum dockets, with its own distinct, separate corporate liability, structured member register, and formal non-profit status, it must comply with the LEA rules for non-profits. Under Legal Entity Act Part VI, Section 2(1), all incorporated non-profits must be structured as member-based LLCs. This would require an application being filed in the Business Incorporation Registration subforum, to which you will provide a Certificate of Formation to the Department of Commerce for approval. The Certificate of Formation should outline the non-profit's clear goals and state that revenue may not be distributed to its members in accordance with Legal Entity Act PART VI, Section 2(3). If the town would prefer formal incorporation, please draft and submit a Certificate of Formation in the Business Incorporation Registration subforum for AVMuseum, with it listing the Town of Aventura as the sole member with 100% interest, so we can review and approve it.
