This is an official DOC enforcement notice. The Talion Foundation have until the end of today to file their report for July.

Per BITA Part IV Section 22(1) and (2). Late filings cause The Talion Foundation to be liable for a penalty of $2.500 per day for their first missed report, and $5.000 per day for repeat failure. These late fees will start stacking tomorrow, if not remedied before then.

CERTIFICATE OF CONVERSION — THE TALION FOUNDATION

(1) The current form of the entity is a Limited Liability Company.
(2) The desired new form of the entity is a foundation.
(3) On conversion, the entity will adopt the attached formation instrument.
(4) Existing interests or memberships are not converted, as the entity is converting into a foundation.
(5) On conversion, the entity shall be renamed "Montclair-Contour Foundation", as reflected in the attached formation instrument.
(6) Inline with RCEA Part IV, § 22(5), the entity will apply to the Federal Court to show that no person will obtain a benefit from the conversion that the purpose of the foundation would not allow, after the Secretary of Commerce or their delegate has signed this certificate, inline with id. § 22(1)(c).

The members have adopted the above certificate by a vote of 2-0.
