Resolved, That

1. Under §5(1) of the Certificate of Incorporation and §8(12)(e)(i) of the Legal Entity Act, the Corporation issues all 120 authorized shares of common stock to BrownBerry; and

2. Under §8(12)(f)(i) of the Legal Entity Act, the Corporation waives any right to payment for the shares so issued.
