Hi @Citrixxxx thank you for your Company Docket submission. Could you please correct the following discrepancies in your Company Docket post to ensure compliance with the Legal Entity Act?
  • Missing Legal Suffix in Registered Name - The docket lists the registered name as Pellanth Credit and Banking. Article I, Section 1 of the Certificate of Formation establishes the legal name as Pellanth Credit and Banking LLC. The legal suffix must be included in the docket post. This is to ensure compliance with Legal Entity Act Part III, Section 2(1)(a).
  • Incorrect Director & Officer Classifications - The docket incorrectly lists the parent company's Board of Directors as the directors of this LLC. Under a manager-managed LLC, only the designated Managers of this specific subsidiary serve as its Directors under the LEA. The "Subsidiary Director" is listed under the "Officers" field, but under Part V, Section 5(2) of the LEA, "Managers shall be regarded as directors". To remedy this, the designated Subsidiary Director (Citrixxxx) and the appointed Banking Manager (RavenReap) must be registered under the Directors field. Because the LLC has no separate corporate officer positions (such as President or Treasurer), the Officers field must state N/A or None.

The remedied Company Docket should look as following:

Username: Citrixxxx

Registered name of the company: Pellanth Credit and Banking LLC

Name of the in-game company: PellanthBanking

Directors of the Incorporated Entity:
  • Citrixxxx (Subsidiary Director)
  • RavenReap (Banking Manager)

Officers of the Incorporated Entity and their title:
N/A (No corporate officers appointed - managers are registered under Directors)

Share or member register:

Any ongoing court cases:
None

Any ongoing enforcement actions:
None

Sorry about that, I have adjusted it to fix the issues :)

Also, is there any way to change the registered name of a company? The CEO of my company was talking about rebranding, so I want to find out if I would have to re-register the entire subsidiary, or if the name could just be changed.

Hello @Citrixxxx , you don't need to dissolve and re-register the entire subsidiary, you can simply pass an amendment resolution to change the name, as name changes are anticipated by Part V, Section 2(2) of the Legal Entity Act. Then, this amendment must be filed in this Company Docket as authorised by Part III, Section 1(8)(a) of the Legal Entity Act, including both version of the Certificate before and after the amendment. Then, you can update the incorporated entity summary in this document by updating the registered name of the company, the new name of the in-game company if that is being changed, and you can change the name of the thread too to represent the name change.

RECEIVERSHIP NOTICE
Commonwealth of Redmont
Ref: DOC-FIEA-2026-0004 | 27 June 2026[/CENTER]

──────────────────────────────────────────

The Department of Commerce has placed Pellanth Credit and Banking LLC (in-game "PellanthBanking", "PC&B") under receivership to protect its depositors, following the misappropriation of customer funds at the bank.

Your deposits are protected. Control of PC&B's accounts and assets has passed to a Department-appointed receiver under FIEA § 15 and the Legal Entity Act. The bank's funds are secured, and no further withdrawals or transfers will occur except through the receiver. Recovered assets will be applied first to the restitution of depositors (FIEA § 15(3)).

What happened. A misappropriation of bank funds is under investigation by the Department and has been referred to the Department of Justice. The Department is tracing and recovering the funds, in whatever form they now take, under FIEA § 14.

If you are a depositor:
  • Open a ticket with the Department to register your claim and confirm the amount you are owed.
  • Please do so within 30 days of this notice so your claim is included in the depositor schedule.
  • You do not need to take any other action. Withdrawals are suspended under the receivership, so there is no need to attempt one.

Depositor guarantee. The Department is coordinating with the relevant departments regarding the depositor guarantee. Further information on coverage will follow.

This is an official action of the Department of Commerce. Depositor identities will be kept confidential, and updates will be posted as the receivership progresses.

Respectfully,
xXTheoryXx
